Question: Automatic transmission replacement

Problem: 'O/D Off' light yellow/flashing; auto trans can fail to upshift, usually on hills. Engine will race. Gear may engage with a jerk. Mechanic says he observed mechanical damage to gears, plus 2-3 codes relating to shift solenoids. Suggests replacing the trans: $2200 for similar mileage (87K) w 6-mo/6Kmi warranty; or $4000 for rebuilt w 100K mile warranty. Is replacement necessary? Are these prices fair?
